What is a Section 8 Company?

Section 8 company of the Companies Act 2013 is the company defined in section 25 under the old Companies Act. These companies can work anywhere in the country. The company registered as section 8 company is a legal evolution of an NPO/NGO i.e. Non-ProfitOrganization. In simple words, it is a business structure with NO profit motive.
As per Section 8(1a, 1b, 1c) of the Companies Act, 2013, a Section 8 Company is a Company which:

  • Is incorporated to promote a public cause such as social welfare, commerce, art, religion, science, education, research, protection of the environment, charity, sports or any such object
  • It intends to apply all its profits, income, or other earnings, in promoting the above public causes.
  • Does not pay any dividend or income to its members.

Section 8 companies can be registered as a private or public limited company. Although an NPO/NGO defined under section 8 of the Companies Act 2013 reaps the benefits of limited liability BUT cannot use the word ‘LIMITED’in its name.

  • CARO: CARO or clauses of Companies Auditor’s Report order does not apply to a Section 8 Company.
  • Benefits donors: Those who donate in a Section 8 company can avail the tax exemption u/s 12 A and 80 G of the INCOME TAX ACT, 1961.
  • Directorship: Even a partnership firm/LLP can become a member of a Section 8 Company if working in its capacity and can also hold the directorship.

Section 8 companies can be registered as a private or public limited company. Although an NPO/NGO defined under section 8 of the Companies Act 2013 reaps the benefits of limited liability BUT cannot use the word ‘LIMITED’in its name.

Pre-requisites to register a Section 8 Company:

There are some mandatory requirements for Section 8 company registration:

  • Minimum two persons with all the required documents

  • No minimum capital required
  • Minimum directors: 3(public limited company) 2(private limited company)

Documents required for Section 8 Company Registration

The director/shareholder of the Private Limited Company is required to submit the scannedcopies/ transcripts of the following documents compulsory for Private Limited Company registration:

  • Self-attested PAN card
  • Self-attested Passport for NRIs and Foreign Nationals
  • Self-attested Scanned transcript of Voter ID /Driving License/ Passport/Aadhar card
  • Updated/latest electricity Bill/Bank account Statement/Mobile or landline phone Bill
  • One passport-size photo
  • Specimen signature or impression.
  • Proof of registered office address: NOC cum consent letter/Notarized Lease agreement/Notarized Rent agreement along with Utility bill (Telephone Bill, Gas Bill, Water Bill, Electricity Bill)/Municipal khata copy/house tax receipt/Ownership documents

Note Proof of Nationality in case the subscriber is a Foreign National

Eligibility:

The eligibility criteria to register a Section 8 company includes:

  • A person/ HUF/ Body Corporate can register a Section 8 Company.
  • Two or more persons acting as a shareholder/director of the company must satisfy every condition of the NPO.
  • One of all the directors must be an Indian resident
  • The object must include sport advancement, art, science, social welfare, financial, and education assistance to the weaker section/low-income class or society.
  • No profit/ compensation or dividend shall be paid or distributed to or amongst members of a Section 8 Company.
  • The surplus must be reinvested in the objects defined.

Funding of a Section 8 Company

Section 8 companies cannot raise capital through deposits.

Donations from the general public are allowed as funding.

FCRA Registration:

  • To allow foreign donation FCRA (Foreign Contribution Regulation Act 1976) registration shall be taken after three years from the date of registration.

For urgent foreign donations:

  • One can apply for FCRA registration before 3 years with the commissioner’s permission.

Equity Funds: The Fund can be raised by a section 8 company through the issuance ofequity shares at a higher price.
