What is a Public Limited Company?

As defined under Section 2(71) of the Companies Act, 2013

A public limited company is:

  • a company that is not a private company
  • a company with NO minimum paid-up share capital requirement. (as per the latest amendment)
  • a company with minimum seven shareholders and 3 directors

A public limited company can be listed on the stock exchanges that allows the company to raise finance by issuing securities to the general public. Annual Company Compliance

A public limited company has to comply with some annual compliance:

Compliance for a listed Public limited company:

    Annual General Meeting: As per Section 121(1) of the Companies Act 2013, the Annual General Meeting has to be held. Once the AGM has been conducted, Form MGT-15 shall be filed.

    Financial Statements: As per Section 137 of the Companies Act, 2013, and Rule 12(2) of the Companies (Accounts) Rules, 2014 the financial statements of the company shall be compulsorily filled with the ROC in Form AOC-4.

    Annual Return: Under Section 92 of the Companies Act, 2013, read with Rule 11(1) of the Companies (Management and Administration) Rules 2014, it becomes mandatory to file the annual returns with the ROC in Form MGT-7.

    Financial and Director’s Report:Adoption of Financial and Director’s Report is mandatory by Section 173 of the Companies Act, Secretarial Standard 1.

    Income Tax Returns: Income Tax Return is to be filed in ITR-6 on or before the 30th of September in each financial year with the Tax Department.

    Secretarial Audit Report: Secretarial Report shall be submitted in consonance with Section 204 of the Companies Act, 2013 read with Rule 9 of The Companies (Appointment and Remuneration Personnel) Rules, 2014.
